Terms of Service

By accessing or using WrenchTrack ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and WrenchTrack Inc. ("Company," "we," "us," or "our").

WrenchTrack is a web-based project management platform designed for mechanics, equipment flippers, and garage entrepreneurs. The Service includes project tracking, expense management, AI-powered equipment analysis, estimate generation, time tracking, and related features.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

The Service offers free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle after notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy.

We may offer free trials for paid plans at our discretion. At the end of a trial period, your account will be converted to the corresponding paid plan unless you cancel before the trial ends. We may modify or discontinue free trials at any time without notice.

You retain ownership of all content you upload, create, or store through the Service ("User Content"), including project data, equipment information, photos, estimates, and notes. By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of your User Content. You agree not to upload content that is illegal, harmful, fraudulent, or infringes on the rights of others.

The Service includes AI-powered features such as equipment condition analysis, repair cost estimation, and market valuation. These features are provided for informational purposes only and should not be relied upon as the sole basis for financial decisions. We do not guarantee the accuracy of AI-generated analyses and recommend consulting qualified professionals for significant transactions.

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Scrape, data mine, or use automated means to access the Service without our written consent
• Resell or redistribute the Service without our express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

The Service, including its design, code, features, documentation, and branding, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding except as expressly permitted in writing.

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to the data practices described in the Privacy Policy.

The Service may integrate with or link to third-party services, including payment processors, cloud storage providers, and analytics tools. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

You may cancel your account at any time through the Service's settings page or by contacting support. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

We will make your User Content available for export for thirty (30) days following termination. After this period, we may delete your data without obligation to retain it.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
